Wing Snob reserves the right, but not the obligation, to monitor user activity on the Site and to investigate and take appropriate legal action against anyone who, in Wing Snob's sole discretion, violates these provisions, including reporting such activity to law enforcement authorities.

5. Ordering, Payment, and Pricing

All orders placed through the Site or affiliated platforms are subject to acceptance by Wing Snob. We reserve the right to refuse or cancel any order at our sole discretion, including orders that appear to be placed fraudulently, in error, or in violation of these Terms.

5.1 Pricing

Prices for all menu items are displayed on the Site and are subject to change without notice. Prices listed on the Site are in United States Dollars (USD) and do not include applicable taxes or delivery fees unless expressly stated. Applicable sales tax will be calculated and added to your order total at checkout in accordance with federal, state, and local tax regulations.

5.2 Payment

Wing Snob accepts payment via major credit cards, debit cards, and any other payment methods expressly indicated on the Site. By submitting payment information, you represent and warrant that:

• You are authorized to use the payment method provided;
• The payment information you provide is accurate and complete;
• You authorize Wing Snob to charge the applicable fees to your designated payment method.

All payments are processed through secure third-party payment processors. Wing Snob does not store your complete credit card or financial account information on its servers. Payment transactions are subject to verification and authorization by your payment provider.

5.3 Refunds and Cancellations

Due to the perishable nature of food products, all sales are generally final once an order has been confirmed and preparation has begun. If you believe your order was incorrect, incomplete, or of unsatisfactory quality, you must contact Wing Snob within twenty-four (24) hours of receiving your order at [email protected]. Refunds or credits, if applicable, are issued at the sole discretion of Wing Snob after investigation of your complaint.

Cancellations may be accepted if requested before preparation of your order has commenced. Once preparation has begun, orders cannot be cancelled and refunds will not be issued.

5.4 Delivery

Delivery availability, timeframes, and fees are subject to your geographic location and current operational capacity. Wing Snob makes reasonable efforts to fulfill delivery orders within estimated timeframes but does not guarantee delivery times. Delays may occur due to weather conditions, traffic, high order volume, or other factors beyond our control. Wing Snob is not liable for any losses or damages resulting from delivery delays.

6. Food Safety, Allergen Information, and Nutritional Disclosures

Wing Snob takes food safety seriously and operates in compliance with applicable federal, state, and local food safety regulations, including standards established by the U.S. Food and Drug Administration (FDA) and relevant state health departments.

While we make reasonable efforts to provide accurate allergen and nutritional information on the Site, we cannot guarantee that our food products are free from allergens. Our kitchen environment may involve shared equipment and surfaces where common allergens such as peanuts, tree nuts, dairy, eggs, wheat, soy, fish, and shellfish are handled. The Wing Snob name, logo, trade dress, and all related names, logos, product and service names, designs, and slogans are trademarks of Wing Snob. You may not use such marks without the prior written permission of Wing Snob. All other names, logos, product and service names, designs, and slogans on the Site are the trademarks of their respective owners.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site solely for your personal, non-commercial use in connection with the Services. This license does not include:

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WING SNOB, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• Your use of or inability to use the Site or Services;
• Any transaction conducted through or facilitated by the Site;
• Any unauthorized access to or use of our servers or any personal information stored therein;
• Any interruption or cessation of transmission to or from the Site;
• Any errors, viruses, or other harmful components transmitted through the Site;
• Any content or conduct of any third party on the Site.

EVEN IF WING SNOB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL WING SNOB'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE USE OF THE SERVICES EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO WING SNOB IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you to the extent prohibited by applicable law.

11. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Wing Snob and its officers, directors, employees, agents, licensors, service providers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms;
• Your use of the Site or Services, including any data or content you transmit or receive;
• Your violation of any rights of a third party, including intellectual property rights or privacy rights;
• Your violation of any applicable federal, state, or local law or regulation;
• Any claim that content you submitted to the Site caused damage to a third party;

Wing Snob reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with Wing Snob in asserting any available defenses.

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States and the applicable laws of the state in which Wing Snob is registered and operates, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of laws of any other jurisdiction.

Subject to the Dispute Resolution section below, you agree that any legal action or proceeding arising under or relating to these Terms or your use of the Services shall be brought exclusively in the federal or state courts of competent jurisdiction located within the United States, and you hereby irrevocably consent to personal jurisdiction and venue in such courts.

Nothing in these Terms shall limit Wing Snob's right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of Wing Snob's intellectual property rights or other proprietary rights.

14. Dispute Resolution

14.1 Informal Resolution

Before initiating any formal dispute resolution process, you agree to contact Wing Snob at [email protected] to attempt to resolve the dispute informally. Wing Snob will use good faith efforts to resolve any dispute within thirty (30) days of receiving notice. If the dispute cannot be resolved informally within that period, either party may proceed to formal dispute resolution as set forth below.

14.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Except as provided in Section 14.3 below, all disputes, controversies, or claims arising out of or relating to these Terms, the Services, or any products or services provided by Wing Snob shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The arbitration shall be conducted in English and the arbitrator's decision shall be final and binding.

The arbitration shall be conducted on an individual basis. YOU AND WING SNOB AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a class or representative proceeding.

14.3 Exceptions to Arbitration

Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes or claims within the scope of that court's jurisdiction. Additionally, Wing Snob may seek injunctive or other equitable relief in any court of competent jurisdiction to address actual or threatened violations of its intellectual property rights or other proprietary rights without first engaging in the informal dispute resolution process.

14.4 Waiver of Jury Trial

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND WING SNOB WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY.

15. Term and Termination

These Terms shall remain in full force and effect for as long as you use the Site or Services or maintain an account with Wing Snob.

Wing Snob may, at its sole discretion, immediately suspend or terminate your access to the Site and Services, with or without notice, for any reason, including but not limited to:

• Breach or violation of these Terms;
• Requests by law enforcement or other government agencies;
• Unexpected technical or security issues or problems;
• Extended periods of inactivity;
• Fraudulent, deceptive, or abusive behavior;
• Non-payment of any amounts owed to Wing Snob.

Upon termination of your access to the Services for any reason: (a) your right to use the Services will immediately cease; (b) Wing Snob may delete or deactivate your account and all related information and files associated with your account; and (c) Wing Snob shall not be liable to you or any third party for any termination of your access to the Services.

All provisions of these Terms that by their nature should survive termination shall survive, including without limitation, ownership provisions, warranty disclaimers, indemnity provisions, and limitations of liability.

16. Changes to Terms

Wing Snob reserves the right, at its sole discretion, to modify, update, or replace these Terms at any time. When changes are made, Wing Snob will update the "Last Updated" date at the top of this page and, where appropriate, provide additional notice such as a prominent notice on the Site or an email notification to registered users.

Your continued use of the Site or Services following the posting of any changes to these Terms constitutes your acceptance of those changes. Wing Snob shall not be liable for any failure or delay in the performance of its obligations under these Terms to the extent that such failure or delay is caused by circumstances beyond Wing Snob's reasonable control, including but not limited to acts of God, natural disasters, government actions or restrictions, pandemics or public health emergencies, labor disputes, power outages, internet or telecommunications failures, civil unrest, war, or any other event that could not have been reasonably anticipated or prevented.

In the event of a force majeure event, Wing Snob will use reasonable efforts to notify affected customers and to resume normal operations as soon as practicable.

20. Electronic Communications

By using the Site or Services, you consent to receiving electronic communications from Wing Snob. These communications may include notices about your account, order confirmations, promotional offers, and other information relating to the Services. You agree that any notices, agreements, disclosures, or other communications that we send to you electronically will satisfy any legal communication requirements, including that such communications be in writing.
